API Terms of Use

1.1 In these API Terms of Use, we, our, ourselves, us or API Licensor means Addresscloud Limited, a company incorporated in England with registered number 7093266 and whose registered office is at 50-60 Station Road, Cambridge CB1 2JH and you, your or API Licensee means you (and if you are using the API on behalf of a legal person, business or other organisation (Organisation) includes you and also such Organisation).

1.2 These terms sit beside your agreement (an executed contract between you and us or your capacity provider and you “Agreement”)). If there is any conflict, your Agreement will take precedence.

1.3 By using the API on behalf of any Organisation, you represent and warrant (promise) that you have the necessary Agreement, all necessary capacity and authority to enter into these API Terms of Use on behalf of such Organisation as a legally binding contract between such Organisation and using all applicable jurisdictions and that the Organisation enters into such contract.

2. Access to the API

2.1 You agree:

2.1.1 use is strictly limited to conditions outlined in your Agreement;

2.1.2 to access the API only using the API key that we give you;

2.1.3 to keep your API key secure and that you are responsible for any use of the API using your key.

3. How you may use the API

3.1 You must:

3.1.1 always comply with your obligations under your Agreement.

3.1.2 obtain end user consent to allow the Application to access the Platform through the API; and

3.1.3 ensure that your use of the API complies with the following:

3.1.3.1 your Agreement

3.1.3.2 these API Terms of Use;

3.1.3.3 all documentation relating to the API provided or made available by us to you (Documentation) (as updated from time to time);

3.1.3.4 any other terms agreed between us and you; and

3.1.3.5 all relevant legislation, regulations, codes of practice, guidance, and other requirements of any relevant jurisdiction, government, regulatory agency, or other regulatory body.

4. What the API must not be used for

4.1 You must not use the API to send spam or to interfere with or degrade our services in any way.

4.2 You must also not use the API for any unlawful purpose or activity whatsoever, including fraud or terrorism, or to promote any unlawful act or in any way which:

4.2.1 makes any private information publicly available;

4.2.2 causes or is intended to cause annoyance, inconvenience or needless anxiety;

4.2.3 is abusive, harmful, threatening or defamatory or may otherwise cause offence (including uploading any material that contains a virus or other malicious code);

4.2.4 does or could potentially breach a legal duty to anyone else (including a duty of confidentiality) or infringe a person’s right to privacy;

4.2.5 promotes discrimination or is likely to incite hatred; or

4.2.6 may infringe the intellectual property rights (e.g. copyright, trade marks, service marks, patents, database rights, know-how, design rights, domain names, know-how and rights in software (registered or not)) or any other rights of anyone (including ours).

4.3 You must also not:

4.3.1 distribute, license, sell, rent, lease or otherwise deal in or encumber (like a guarantee, mortgage or security interest, for example) the API;

4.3.2 modify, add to, or otherwise enhance the API;

4.3.3 except as strictly necessary for you to integrate our API with your Application in a manner (and for such purposes) that complies at all times with these API Terms of Use, copy or decompile the API and shall not observe, study or test the functioning of the API (or any part of it), but only so far as the same cannot be restricted by law; or

4.3.4 infringe or copy our code or content or the design of our API or any of our other intellectual property rights.

5. Registration & Password Security

5.1 Use of the Site may require registration, particularly in order to access restricted areas of the Site.

5.2 We are not obliged to permit anyone to register with the Site and we may refuse, terminate or suspend registration to anyone at any time.

5.3 You are responsible for making sure that your password and any other account details are kept secure and confidential.

5.4 If we have reason to believe there is likely to be a breach of security or misuse of the Site through your account or the use of your password, we may notify you and require you to change your password, or we may suspend or terminate your account.

5.5 Any personal information you provide to us as part of the registration process will be processed in accordance with our Privacy Policy available at https://help.addresscloud.com/article/96-privacy-policy .

5.6 You are not permitted to transfer your rights to anyone else or to allow anyone else to use the API.

5.7 All intellectual property rights in and to the API are ours and remain ours (or our licensors).

6. API Licensor’s rights

6.1 We have the right at any time to access your API account and monitor your use of your API account to ensure you comply with these API Terms of Use.

6.2 You grant us a royalty-free, perpetual, irrevocable, non-exclusive, transferable licence to use, reproduce, copy, download, view, modify, publish, edit, translate, distribute, perform, display and otherwise utilise any content or material that you provide to us through the API and any data or analytics generated from the same.

7. Our Marks

7.1 All trade marks, logos and service marks (the Marks) which appear on the API are our registered and unregistered Marks or are licensed for use by us by the owners of those Marks.

7.2 Other Marks are proprietary marks and are registered to their respective owners.

7.3 Nothing contained on the API should be construed as granting any licence or right to use any Marks displayed on the API without our written permission.

7.4 Misuse of any Mark displayed on the API, or any other content on the API, except as provided herein, is strictly prohibited.

8. Promises and disclaimers

8.1 You promise that:

8.1.1 you hold all rights and have obtained all licenses required to use the API integration you develop; and

8.1.2 your use of the API will not infringe our rights or anyone else’s, nor will it breach any applicable laws or regulations.

9. Updates to the API

We may make changes to the API at any time and for any reason. The updated API and any corresponding updates to related documentation can be accessed at https://docs.addresscloud.com. If any change we make is not acceptable to you, stop using the API. Your continued use of the API means that you accept the change to the API.
